Contractor Agreement

This Contractor Agreement (“Agreement”) is entered into between KeyTradesman LLC, a Colorado limited liability company (“KeyTradesman,” “we,” or “us”), and the contractor identified during the account registration process (“Contractor,” “you,” or “your”). By completing registration, submitting the opt-in form, or purchasing any lead through the KeyTradesman platform, Contractor agrees to be bound by the terms of this Agreement.

1. Nature of the Relationship

Contractors using the KeyTradesman platform are independent business owners and customers of KeyTradesman’s lead generation service. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between KeyTradesman and Contractor. Contractor is solely responsible for all work performed, licensing, permitting, tax obligations, insurance, and compliance with applicable law in connection with any project obtained through the platform. KeyTradesman does not control or direct the manner, means, timing, or pricing of Contractor’s services. KeyTradesman is a neutral technology platform and is not an agent, broker, or representative of any user. KeyTradesman does not control, direct, or guarantee the performance of contractors or the outcome of any project.

2. Platform Description

KeyTradesman operates a lead generation marketplace that collects homeowner project requests, scores them using an AI-assisted system, and distributes them to vetted local contractors. KeyTradesman does not perform any home services work, does not guarantee homeowner satisfaction with contractor performance, and is not a party to any contract between Contractor and homeowner. All leads are governed by a universal 24-hour lifecycle. All leads — regardless of track — archive at hour 24 from submission. Unclaimed leads result in a courtesy notification to the homeowner the following morning.

3. Lead Distribution — Per-Lead Track

For leads in zip codes without an active retainer contractor, the following distribution applies:

Lead prices are determined by AI score tier: Hot ($85), Warm ($65), Cool ($40). A maximum of three (3) contractors may purchase any single lead. Lead claim is first-come, first-served based on payment completion.

4. Lead Distribution — Retainer Track

Contractors on a monthly territory retainer receive an exclusive first window on all leads in their selected zip codes, as follows:

Claiming a lead constitutes a free acknowledgment of intent to pursue. No per-lead charge ever applies to a retainer contractor for any lead in their territory — the monthly retainer fee covers all lead claims regardless of tier or timing. This is enforced technically: the claim flow performs a real-time Supabase lookup to verify active retainer status for the relevant zip code, and bypasses Stripe entirely for confirmed retainer contractors. Retainer contractor must actively claim the lead to receive full homeowner contact details. Details are delivered instantly upon claiming. If the retainer contractor does not claim a lead within the exclusive window, the lead releases to the per-lead pool.

5. Retainer Territory Subscription

Retainer subscriptions are available at three territory tiers:

Pricing is locked at the rate active at time of signing for the duration of continuous active subscription. KeyTradesman reserves the right to adjust pricing for new subscribers at any time. Price changes will never apply retroactively to active accounts in good standing. Retainer subscriptions are billed monthly via Stripe. Cancellation takes effect at the end of the current billing period. Only one retainer contractor may hold an active subscription per zip code at any time.

6. Eligibility and Vetting Requirements

To be approved and remain active on the platform, Contractor must maintain all of the following at all times:

A Google rating drop below 4.5 stars will result in automatic account suspension. A rating below 4.0 stars will result in immediate removal. KeyTradesman reverifies eligibility at least quarterly.

7. Payment and Pre-Authorization

Per-lead payments are processed through Stripe using a pre-authorization model: Contractor’s payment method is held at the time of claim and captured approximately one hour after full lead details are delivered. If a lead reaches its 3-buyer limit before capture, an automatic full refund is issued.

8. Chargeback and Dispute Policy

KeyTradesman reserves the right to suspend platform access following repeated payment disputes. First disputes will be reviewed individually. Contractors found to have initiated fraudulent disputes will be permanently removed from the platform and reported to Stripe.

9. Lead Quality and Contact Verification

All lead contact information is verified through carrier validation before delivery. Phone numbers confirmed invalid are never sent. All verified leads are final sale. KeyTradesman does not guarantee homeowner response, hire, or project completion.

10. TCPA Consent and SMS Communications

By checking the SMS consent box during registration, Contractor agrees:

“I agree to receive automated SMS messages from KeyTradesman at the phone number provided, including lead alert notifications, account updates, and follow-up messages. This consent is not a condition of purchase or service.”

11. Platform Non-Replication

Contractor agrees not to use knowledge of KeyTradesman’s lead generation methods, pricing structure, or operational systems to establish a competing lead generation service targeting the same geographic markets and service niches for a period of 12 months following termination of their KeyTradesman account.

12. Assignment

This Agreement may be assigned to a successor entity in the event of business acquisition without requiring Contractor consent, provided service terms remain unchanged.

13. Contractor Conduct

Contractor agrees to contact all purchased leads professionally and promptly, represent credentials accurately, comply with all applicable law, and not use homeowner contact information for any purpose other than the specific project inquiry purchased.

14. Suspension and Termination

KeyTradesman may suspend or terminate any Contractor account at its sole discretion for failure to maintain vetting standards, violation of this Agreement, repeated disputes, or conduct that harms the platform or its users. Contractor may terminate at any time by contacting support@keytradesman.com. Termination does not entitle Contractor to a refund of previously purchased leads or unused retainer days in the current billing period.

15. Data Processing

Contractor acknowledges receipt of the Data Processing Agreement (DPA) addendum, incorporated into this Agreement by reference. Contractor agrees to handle all homeowner personal data in accordance with the DPA and the Colorado Privacy Act.

16. Indemnification

Contractor agrees to indemnify, defend, and hold harmless KeyTradesman LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYTRADESMAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM. KEYTRADESMAN’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CONTRACTOR TO KEYTRADESMAN IN THE 90 DAYS PRECEDING THE CLAIM.

18. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. KEYTRADESMAN EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

19. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Colorado. Any dispute shall be resolved by binding arbitration in Denver, Colorado under AAA rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

20. Entire Agreement

This Agreement, together with the DPA addendum, constitutes the entire agreement between the parties. KeyTradesman reserves the right to modify this Agreement with 14 days advance notice to active Contractors.

Contractor Acknowledgment

By completing account registration or purchasing any lead through the KeyTradesman platform, Contractor acknowledges that they have read, understood, and agree to be bound by this Agreement.

ADDENDUM: Data Processing Agreement

This Data Processing Agreement (“DPA”) is an addendum to the KeyTradesman Contractor Agreement and is incorporated therein by reference. This DPA governs the processing of personal data shared with Contractor through the KeyTradesman platform, in compliance with the Colorado Privacy Act (CPA), C.R.S. § 6-1-1301 et seq., and other applicable privacy law.

1. Definitions

“Personal Data” means any information that identifies or is reasonably linkable to an identified or identifiable natural person, including homeowner names, addresses, phone numbers, and project descriptions shared through the KeyTradesman platform. “Processing” means any operation performed on Personal Data, including collection, use, storage, disclosure, and deletion. “Controller” means KeyTradesman LLC, which determines the purposes and means of processing Personal Data. “Processor” means Contractor, who processes Personal Data on behalf of and under the instructions of KeyTradesman.

2. Purpose Limitation

Contractor may process Personal Data received through the KeyTradesman platform solely for the purpose of responding to the specific homeowner project inquiry for which the lead was purchased or claimed. Contractor shall not use homeowner Personal Data for any other purpose, including marketing, list-building, resale, or outreach unrelated to the purchased project.

3. Confidentiality

Contractor shall maintain the confidentiality of all Personal Data received through the platform and shall ensure that any personnel with access to Personal Data are bound by appropriate confidentiality obligations.

4. Security

Contractor shall implement and maintain reasonable technical and organizational security measures to protect Personal Data against unauthorized access, disclosure, alteration, or destruction.

5. Data Retention and Deletion

Contractor shall retain homeowner Personal Data only as long as necessary to fulfill the purpose for which it was received. Upon request from KeyTradesman or the homeowner, Contractor shall delete or return Personal Data within 30 days.

6. Consumer Rights Assistance

In the event a homeowner exercises any rights under the Colorado Privacy Act — including the right to access, correct, delete, or opt out of processing — Contractor shall cooperate with KeyTradesman to fulfill such requests within applicable legal timeframes and shall not process the relevant data pending resolution.

7. Subprocessors

Contractor shall not engage any subprocessor to process homeowner Personal Data without prior written notice to KeyTradesman. Contractor remains liable for the acts and omissions of any authorized subprocessor.

8. Breach Notification

Contractor shall notify KeyTradesman at stephanie@keytradesman.com without undue delay, and in any event within 48 hours, upon becoming aware of any actual or suspected breach of security involving homeowner Personal Data. Notification shall include:

  • the nature of the breach;
  • categories and approximate number of individuals affected;
  • categories of Personal Data involved; and
  • measures taken or proposed to address the breach.

Contractor acknowledges that Colorado law (HB 18-1128) requires breach notification to affected consumers within 30 days of determination that a breach has occurred.

9. Audit Rights

KeyTradesman reserves the right, upon reasonable notice, to audit Contractor’s compliance with this DPA or to require Contractor to provide written certifications of compliance.

10. Governing Law

This DPA is governed by the laws of the State of Colorado. In the event of conflict between this DPA and the Contractor Agreement, this DPA controls with respect to privacy and data processing matters.

11. Termination

This DPA terminates automatically upon termination of the Contractor Agreement. Upon termination, Contractor shall delete all homeowner Personal Data in its possession and certify such deletion to KeyTradesman within 30 days.

Acknowledgment

By executing the Contractor Agreement or purchasing or claiming any lead through the KeyTradesman platform, Contractor acknowledges receipt of and agreement to this Data Processing Agreement.
